1. Acceptance of Terms

By accessing or using ResiFort.com, our booking tools, the Exit Strategy Analyzer, the Exit Builder app, or any related services (“Services”), you agree to these Terms of Service (“Terms”). If you do not agree, please do not use the Services.

ResiFort (“we,” “us,” “our”) is a trade name of Candor Realty Investments AZ, LLC. Real estate brokerage services are provided exclusively through West USA Realty, Inc.

2. Use of Our Services

2.1 Informational and advisory services

Our website, Exit Strategy Analyzer, Exit Builder, and educational content are provided for informational purposes to help sellers and buyers understand creative finance options (seller financing, subject-to, wrap-around mortgages, note investing, traditional sale).

2.2 Real estate brokerage services

Licensed real estate services (listing agreements, buyer representation, offer preparation, transaction management) are performed under West USA Realty, Inc., Arizona Branch License #CO001154004, Designated Broker Duane P. Fouts, by Rafael Carrasquillo (Licensed Arizona Realtor, AZ License #SA577669000).

A signed representation agreement is required before any licensed real estate activity begins. Browsing this site, using our tools, or speaking with us does not create an agency relationship.

3. Not Legal, Tax, or Financial Advice

Information on ResiFort.com and in our tools is for general educational and informational purposes only. It does not constitute legal, tax, financial, investment, or accounting advice. Creative finance transactions have complex implications unique to each situation.

4. Creative Finance Risk Acknowledgment

Creative finance transactions involve material risks that traditional transactions may not present, including:

• Due-on-sale clause acceleration by existing lenders
• Title cloud and insurance coverage gaps
• Property tax reassessment
• Buyer default and potential loss of property equity
• Regulatory changes affecting enforceability

All ResiFort clients entering into creative finance transactions are required to review and sign the Creative Finance Risk Acknowledgment (Document RF-CFRA-v1.1) before closing. Request a copy: [email protected].

5. Eligibility

To use the Services you must be:

• At least 18 years of age
• Legally able to enter into contracts
• Not prohibited from using real estate services under any applicable law

6. User Conduct

When using our Services, you agree NOT to:

• Submit false, misleading, or fraudulent information (property details, identity, financial status)
• Use our tools to harvest, scrape, or collect data about other users
• Interfere with or disrupt the Services, servers, or networks
• Attempt unauthorized access to any portion of the Services
• Use our booking system or contact forms for spam, solicitation unrelated to our Services, or harassment
• Violate any applicable law or regulation

7. Intellectual Property

All content on ResiFort.com — including text, graphics, logos, icons, images, audio, video, data compilations, software code, and the compilation thereof — is owned by Candor Realty Investments AZ, LLC (dba ResiFort) or licensed to us, and is protected by United States and international copyright, trademark, and other intellectual property laws.

ResiFort™ is a trademark of Candor Realty Investments AZ, LLC. Use of the ResiFort name, logo, or any related marks without prior written permission is prohibited.

You may view and use our Services for personal, non-commercial purposes only. You may not copy, modify, distribute, sell, or lease any part of the Services without explicit written permission.

8. Testimonials & Trust Claims

All testimonials, case studies, credentials, and performance statistics displayed on ResiFort.com are verified at the time of publication and documentation is available on request at [email protected].

Testimonials reflect the experience of specific clients and are not a guarantee of similar results. Past performance does not guarantee future results. Individual outcomes depend on property condition, market timing, negotiated terms, and client-specific circumstances.

9. Third-Party Links & Services

Our Services may include links to or embeds of third-party websites or services (Google Calendar booking, MLS listings, video platforms, form processors). We do not control these third parties and are not responsible for their content, policies, or practices. Your interactions with third-party services are governed by their terms and privacy policies.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

We do not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components. Information produced by the Exit Strategy Analyzer, Exit Builder, or other tools is illustrative and directional — not a guaranteed outcome.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL RESIFORT, CANDOR REALTY INVESTMENTS AZ, LLC, WEST USA REALTY, INC., OR ANY OF THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES.

Our total liability arising out of or relating to these Terms or the Services shall not exceed the greater of (a) the amount you paid to us, if any, in the twelve months preceding the claim, or (b) one hundred U.S. dollars ($100). This limitation applies regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise).

12. Indemnification

You agree to defend, indemnify, and hold harmless ResiFort, Candor Realty Investments AZ, LLC, West USA Realty, Inc., Rafael Carrasquillo, and their affiliates, officers, directors, employees, and agents from any claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorney fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party right; or (d) any false or misleading information you provide.

13. Dispute Resolution

13.1 Informal resolution

Before filing any formal claim, you agree to attempt to resolve disputes informally by contacting [email protected]. We will respond in good faith and attempt to resolve the matter within 30 days.

13.2 Binding arbitration

If informal resolution fails, any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Maricopa County, Arizona. The decision of the arbitrator shall be final and binding.

13.3 Exceptions

This arbitration requirement does not apply to: (a) claims falling within the jurisdiction of a small claims court; (b) actions to protect intellectual property rights; or (c) claims that cannot be subjected to binding arbitration as a matter of law (including disputes regulated by the Arizona Department of Real Estate).

13.4 Class action waiver

YOU AND WE AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict-of-law principles. Any court proceedings not subject to arbitration shall be brought exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to the jurisdiction and venue of those courts.

Real estate services are regulated by the Arizona Department of Real Estate (ADRE) under A.R.S. Title 32, Chapter 20, and A.A.C. Title 4, Chapter 28. Complaints regarding licensed real estate activity may be directed to ADRE at azre.gov.

15. Changes to Terms

We may revise these Terms from time to time. The most current version will always be at resifort.com/terms. Material changes will be communicated via email or prominent notice on the site. Continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.
